Welcome to Rex. These Terms of Service ("Terms") govern your access to and use of the Rex mobile application, website, and related services (collectively, the "Service") operated by Rex Entertainment Corp. ("Rex," "we," "us," or "our"), a Wyoming corporation with its principal place of business in Austin, Texas.

By creating an account, accessing, or using Rex, you agree to these Terms. If you do not agree, you should not use Rex.

1. About Rex

Rex is an entertainment discovery app that helps users find movies and TV shows, receive recommendations, create watchlists, use group discovery features, view trailers, and connect to third-party platforms where content may be available.

Rex is not a streaming service. Rex does not host, stream, sell, or distribute movies or TV shows. Rex helps users discover entertainment content and, where available, connect to third-party services that may offer that content.

2. Eligibility

You must be at least 13 years old to create an account or use Rex.

If you are under 18, you may create an account or use Rex only with the consent and supervision of a parent or legal guardian. By creating an account or using Rex, you represent that you meet these requirements and that your use of Rex does not violate any applicable law or regulation.

Rex is not intended for children under 13. We do not knowingly collect personal information from children under 13. If we learn that a user is under 13, we may suspend or delete the account and associated information, subject to applicable law.

3. Accounts

To use certain features of Rex, you may need to create an account.

You agree to provide accurate information when creating an account and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

If you believe your account has been accessed without authorization, contact us at support@rexapp.ai.

Rex does not require users to provide their legal name.

4. Account Deletion

You may request deletion of your Rex account through the app or by contacting us at support@rexapp.ai.

When your account is deleted, we will delete or de-identify personal information associated with your account unless we are required or permitted to retain certain information for legal, security, fraud prevention, accounting, dispute resolution, or operational reasons.

Deleting your Rex account may not automatically cancel any active subscription purchased through Apple or another payment provider. You are responsible for managing and canceling subscriptions through the platform where the subscription was purchased.

5. Recommendations, Discovery, and AI Features

Rex provides movie and TV recommendations based on information such as your selected streaming services, preferences, watchlists, saved titles, ratings, likes, dislikes, demographic information, and activity inside the app.

Rex offers AI-powered features, including a conversational assistant ("Ask Rex AI"), that let you describe what you are in the mood for and receive movie and TV suggestions in response. These features use automated systems, which may include third-party artificial-intelligence providers, to process the information and prompts you submit and generate suggestions. How we handle the information you submit is described in our Privacy Policy.

You are responsible for the content of the prompts and inputs you submit to Rex's AI features. You agree not to submit content that is unlawful, harmful, abusive, infringing, or that includes another person's personal or confidential information, and not to use the AI features to generate prohibited content or in any way that violates the Acceptable Use section of these Terms.

AI-generated suggestions and responses are for informational and entertainment purposes only. They are produced by automated systems, may be inaccurate, incomplete, or not reflect current availability, and should not be relied on as professional advice. Rex does not guarantee that any recommendation or AI response will match your preferences, be accurate, be available on a specific platform, or remain available over time.

Content availability may change based on region, licensing, platform changes, subscription status, or third-party service decisions.

6. Watchlists and User Activity

Rex may allow you to save titles, create watchlists, rate or like content, participate in group discovery features, and interact with movie and TV information.

You are responsible for your activity within Rex and for any information you choose to provide.

Rex may use your activity to personalize recommendations, improve discovery features, improve the product, and support app functionality as described in our Privacy Policy.

7. Group Discovery Features

Rex may offer group discovery features that let users join shared sessions, vote on titles, compare preferences, and receive group recommendations.

When you use a group feature, some of your activity — such as your votes, selections, preferences, or recommendations — may be visible to other people in that session. You agree to use group features respectfully and not to harass, abuse, threaten, impersonate, or harm other users.

Each participant must have their own Rex account and meet the eligibility requirements in Section 2. Parents and legal guardians are responsible for supervising any minors who use Rex, including in group sessions.

8. Third-Party Content and Services

Rex may display movie and TV information, posters, descriptions, cast, crew, genres, release dates, trailers, availability information, and related details from third-party sources.

Rex may also link to or connect users with third-party platforms, including streaming services, video platforms, websites, or apps.

Rex does not control third-party services and is not responsible for their content, availability, pricing, subscriptions, policies, accuracy, or performance. When you access a third-party service, that service's own terms and privacy policy apply.

9. Trailers and Video Content

Rex may allow users to view trailers or related video content through third-party video services or links to external platforms.

Rex does not host, own, or distribute trailer video files. Trailer playback and related video services may be provided by third-party platforms, and your use of those platforms is subject to their own terms and policies.

10. No Ownership of Movies or TV Shows

Rex does not claim ownership of any movies, TV shows, trailers, posters, artwork, names, trademarks, logos, or other content owned by studios, networks, distributors, streaming platforms, creators, or other rights holders.

All third-party content remains the property of its respective owners.

Rex's use of third-party entertainment information is intended to support discovery, recommendation, and user navigation.

11. Subscriptions, Purchases, and Payments

Rex may offer paid subscriptions, premium features, or other purchases.

If you purchase a subscription or paid feature through the Apple App Store, your purchase will be processed by Apple and will be subject to Apple's payment terms, subscription rules, and cancellation policies.

The title, length, and price of each subscription option, along with the billing period and renewal terms, will be shown before you complete a purchase.

Auto-Renewal. Unless otherwise stated, subscriptions are auto-renewing. This means:

  • Payment will be charged to your Apple ID account (or other applicable payment account) at confirmation of purchase.

  • Your subscription automatically renews for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period.

  • Your account will be charged for renewal within 24 hours prior to the end of the current period, at the then-current price for your subscription.

  • You can manage your subscription and turn off auto-renewal in your account settings on the platform where you purchased it (for example, in your Apple ID Account Settings) after purchase.

Free Trials. If a subscription includes a free trial, any unused portion of the free trial period will be forfeited when you purchase a subscription, where applicable.

Cancellation. You may cancel a subscription at any time through the platform where you purchased it. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then. Deleting the Rex app does not cancel your subscription.

Price Changes. We may change subscription prices from time to time. Where required by law or by the applicable app store, we will provide notice of price changes and, where required, the opportunity to accept the new price before it takes effect.

Rex does not directly store full credit card numbers.

12. Apple App Store and Additional Terms

This Section applies if you download or use the Rex app from the Apple App Store (the "Application"). In the event of any conflict between this Section and the rest of these Terms, this Section controls with respect to your use of the Application obtained from the Apple App Store.

  • Acknowledgment. These Terms are between you and Rex only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Application or its content. To the extent these Terms provide usage rules for the Application that are less restrictive than, or conflict with, the Apple Media Services Terms and Conditions, the more restrictive or conflicting Apple term applies.

  • Scope of License. The license granted to you for the Application is a limited, non-transferable license to use the Application on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

  • Maintenance and Support. Rex is solely responsible for providing any maintenance and support for the Application as specified in these Terms or as required by applicable law. Apple has no obligation to furnish any maintenance or support services for the Application.

  • Warranty. Rex is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid for the Application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Application.

  • Product Claims. Rex, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession or use of the Application, including: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

  • Intellectual Property Rights. In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Rex, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

  • Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

  • Developer Contact. Questions, complaints, or claims about the Application should be directed to Rex at support@rexapp.ai.

  • Third-Party Terms. You must comply with applicable third-party terms of agreement when using the Application.

  • Third-Party Beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

13. Acceptable Use

You agree not to:

  • Use Rex for any unlawful, harmful, fraudulent, abusive, or unauthorized purpose

  • Attempt to access another user's account

  • Interfere with or disrupt Rex's systems, servers, security, or networks

  • Reverse engineer, copy, scrape, crawl, or misuse Rex or its data

  • Use Rex to harass, threaten, impersonate, or harm others

  • Upload or transmit viruses, malware, or harmful code

  • Circumvent usage limits, security measures, or access controls

  • Use Rex in a way that violates third-party rights

  • Submit prompts or inputs to Rex's AI features that are unlawful, abusive, or harmful, or attempt to use those features to generate prohibited content or to extract or reverse engineer the underlying models

  • Misrepresent your affiliation with Rex or any third party

We may suspend or terminate access to Rex if we believe you have violated these Terms.

14. User Feedback

If you send us feedback, ideas, suggestions, or recommendations about Rex, you agree that we may use them without restriction or compensation to you.

You are not required to provide feedback, but if you do, you grant Rex the right to use it to improve, develop, market, or operate the service.

15. Rex Intellectual Property

Rex, including its app, design, branding, software, features, logos, text, graphics, user interface, and related materials, is owned by Rex Entertainment Corp. or its licensors.

These Terms do not give you ownership of Rex or any Rex intellectual property.

You may use Rex only as permitted by these Terms.

16. Copyright and DMCA Policy

Rex respects the intellectual property rights of others and expects users to do the same.

If you believe that material accessible on or through Rex infringes your copyright, you may send a written notice to our designated agent that includes:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

  • Identification of the copyrighted work claimed to have been infringed;

  • Identification of the material claimed to be infringing and information reasonably sufficient to allow us to locate it;

  • Your contact information, including your name, address, telephone number, and email address;

  • A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and

  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Notices should be sent to our designated agent at: support@rexapp.ai.

We may, in appropriate circumstances and at our discretion, disable or terminate the accounts of users who are repeat infringers.

17. Privacy

Your use of Rex is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

By using Rex, you agree to our Privacy Policy.

18. Electronic Communications

By creating an account or using Rex, you consent to receive communications from us electronically, including by email, through the app, or by posting notices within the Service. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

19. Changes to Rex

We may update, modify, suspend, or discontinue Rex or any part of the service at any time.

We may add or remove features, change functionality, update recommendations, modify availability, or limit access to certain parts of Rex.

We are not liable for any changes, interruptions, or discontinuation of the service.

20. Termination

You may stop using Rex at any time.

We may suspend or terminate your access to Rex if we believe you violated these Terms, created risk for Rex or other users, or used Rex in a way that may harm the service, users, or third parties.

After termination, certain provisions of these Terms will continue to apply, including sections related to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive.

21. Disclaimers

Rex is provided on an "as is" and "as available" basis.

We do not guarantee that Rex will be uninterrupted, error-free, secure, accurate, or available at all times.

We do not guarantee the accuracy, completeness, availability, or reliability of movie or TV information, recommendations, trailers, third-party links, streaming availability, or other third-party content.

Rex does not guarantee that any movie or TV show will be available on any particular streaming service or platform.

To the fullest extent permitted by law, Rex disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

22. Limitation of Liability

To the fullest extent permitted by law, Rex Entertainment Corp. and its officers, directors, employees, contractors, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of Rex.

To the fullest extent permitted by law, Rex's total liability for any claim arising out of or relating to these Terms or your use of Rex will not exceed the greater of:

(a) the amount you paid to Rex in the twelve months before the claim arose; or (b) $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless Rex Entertainment Corp. and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of Rex

  • Your violation of these Terms

  • Your violation of any law or regulation

  • Your violation of any third-party rights

  • Your misuse of Rex or third-party services connected through Rex

24. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

25. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A DISPUTE DECIDED BY A JUDGE OR JURY, AND TO PARTICIPATE IN A CLASS ACTION. IT REQUIRES YOU AND REX TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL, BINDING ARBITRATION. YOU HAVE THE RIGHT TO OPT OUT OF THIS SECTION AS DESCRIBED BELOW.

25.1 Scope

This Section applies to any dispute, claim, or controversy between you and Rex arising out of or relating to these Terms, the Service, or your relationship with Rex, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before or after the effective date of these Terms (each, a "Dispute"). As used in this Section, "Rex" includes Rex Entertainment Corp. and its officers, directors, employees, contractors, affiliates, agents, predecessors, successors, and assigns.

25.2 Informal Resolution First

Before starting an arbitration or filing any claim, you and Rex agree to first try to resolve the Dispute informally for at least 30 days. To begin, you must send a written Notice of Dispute to support@rexapp.ai that includes your name, the email associated with your account, a description of the Dispute, and the relief you are seeking. Rex will send any Notice of Dispute to you at the email associated with your account. You and Rex agree to negotiate in good faith during this period. If requested, you and a Rex representative will personally attend (by phone or video is acceptable) an informal settlement conference. This informal-resolution requirement is a condition precedent to starting arbitration, and the applicable statute of limitations and any arbitration fee deadlines will be tolled while the parties engage in this process.

25.3 Agreement to Arbitrate

If the Dispute is not resolved within 30 days after a complete Notice of Dispute is received, you and Rex agree to resolve it through final and binding individual arbitration, rather than in court, except as expressly provided in this Section. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).

25.4 Exceptions

Notwithstanding the above, either party may: (a) bring an individual claim in small claims court if it qualifies and remains in that court; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Filing such a claim does not waive the agreement to arbitrate any other Dispute.

25.5 Arbitration Procedure

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (the "AAA Rules"), as modified by this Section. The AAA Rules are available at www.adr.org. If the AAA is unavailable or unwilling to administer the arbitration consistent with this Section, the parties will agree on an alternative administrator or, failing agreement, a court will appoint one.

The arbitration will be conducted by a single neutral arbitrator. For any claim where neither party seeks more than $25,000, the arbitration may be conducted solely on the basis of documents submitted to the arbitrator, unless the arbitrator determines that a hearing is necessary. Any in-person hearing will take place in the county where you reside or another mutually agreed location; telephone or video proceedings are also permitted. The arbitrator will issue a reasoned written decision and may award any relief available in an individual action under applicable law, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. The arbitrator's award is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

25.6 Class Action Waiver

YOU AND REX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate or join the claims of more than one person, and may not otherwise preside over any form of a class, collective, consolidated, or representative proceeding, except as expressly provided in the Mass Arbitration provisions below. If a court decides that applicable law precludes enforcement of any of the limitations in this paragraph as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court, while all other claims continue to be arbitrated on an individual basis.

25.7 Mass Arbitration

If 25 or more similar Notices of Dispute are submitted by or with the assistance or coordination of the same law firm or organized group of attorneys, and the cases cannot be resolved during the informal-resolution period, the claims will be resolved using the following batching process, and the AAA's mass-arbitration or multiple-consumer-case rules and fee schedules (where applicable) will apply.

The claims will be grouped into batches of no more than 50 claimants each (plus, as needed, a final batch of the remaining claimants). Counsel for the claimants and counsel for Rex will each select an equal number of bellwether cases per batch (up to 10 total per batch) to be filed and arbitrated first, one batch at a time. The remaining claims in that batch will not be filed, and no arbitration fees will be assessed for them, until the bellwether arbitrations for that batch are completed. After each set of bellwether arbitrations, the parties will engage in a single global mediation session for the remaining claims in that batch before any further cases are filed. A court of competent jurisdiction will have authority to enforce this provision, including by enjoining the mass filing, the demand for arbitration fees, or the assessment or collection of arbitration fees, other than as set forth in this provision. This provision is intended to ensure the efficient and fair resolution of mass-filed claims and to avoid the assessment of arbitration fees in a manner inconsistent with this process.

25.8 Arbitration Costs

Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, except that Rex will pay or reimburse those fees to the extent required by the AAA Rules or applicable law, or where their imposition on you would render this arbitration agreement unenforceable. If you are unable to pay any fee required to initiate arbitration, you may request that Rex pay or advance it, and Rex will consider the request in good faith. Each party is responsible for its own attorneys' fees and costs, except where a statute or the arbitrator's award provides otherwise.

25.9 Your Right to Opt Out

You may opt out of this Section (Dispute Resolution; Binding Arbitration; Class Action Waiver) within 30 days after you first accept these Terms by sending written notice to support@rexapp.ai. Your notice must include your name, the email associated with your account, and a clear statement that you want to opt out of arbitration. Opting out will not affect any other part of these Terms or your use of Rex. If you opt out, the Forum Selection provisions in Section 25.12 will govern any Dispute. This is the only way to opt out.

25.10 Survival and Severability

This Section survives termination of these Terms and your use of Rex. Except as stated in the Class Action Waiver, if any portion of this Section is found to be invalid or unenforceable, that portion will be severed and the remainder of this Section will continue to apply. However, if the Class Action Waiver in Section 25.6 is found to be invalid or unenforceable as to a particular Dispute, then this entire Section (and the agreement to arbitrate) will be null and void as to that Dispute, which will instead proceed under the Forum Selection provisions in Section 25.12; the agreement to arbitrate remains in effect for all other Disputes.

25.11 Future Changes to This Section

If Rex makes a material change to this Section after the date you most recently accepted these Terms, you may reject that change by sending written notice to support@rexapp.ai within 30 days of the change becoming effective, in which case the most recent version of this Section before the change will continue to apply.

25.12 Forum Selection (If Arbitration Does Not Apply)

For any Dispute that is not subject to arbitration — including where you have opted out, where the Dispute falls within an exception, or where a court determines that the agreement to arbitrate does not apply — you and Rex agree that the Dispute will be brought exclusively in the state or federal courts located in Travis County, Texas, unless applicable law requires otherwise, and you and Rex consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial in any such proceeding to the fullest extent permitted by law.

26. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may notify you through the app, by email, or by updating the effective date above.

Your continued use of Rex after updated Terms become effective means you accept the updated Terms.

27. General Terms

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms that apply to specific features, make up the entire agreement between you and Rex regarding the Service and supersede any prior agreements between you and Rex on that subject.

Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary, or severed if it cannot be modified, and the remaining provisions will remain in full force and effect.

Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing to be effective and applies only to the specific instance identified.

Force Majeure. Rex is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, labor disputes, internet or telecommunications failures, third-party service outages, or governmental actions.

Notices. We may provide notices to you through the app, by email, or by posting within the Service. You may send notices to us at support@rexapp.ai.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
